Terms of Use

These Terms & Conditions, including these Terms of Use and any documents incorporated by reference, constitute a legally binding agreement between you and King Pen Studio LLC (“King Pen Studio,” “we,” “us,” “our,” and related variations). These Terms govern your access to and use of our website, landing pages, forms, communications, software, content, tools, and related services (collectively, the “Site” and the “Services”).

By visiting, accessing, browsing, submitting information through, or otherwise using any part of the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other legal notices, authorizations, disclosures, or additional terms presented to you in connection with the Site or Services, all of which are incorporated herein by reference. Certain Services may require you to review and accept additional terms, disclosures, or consents before moving forward.

1. Introduction and Defined Terms

King Pen Studio helps entrepreneurs and business owners with business consulting, business formation guidance, brand direction, and digital strategy services, including assistance with LLC formation filings, EIN applications, D-U-N-S registration, branding, and digital presence development. King Pen Studio may connect clients with third-party filing agencies, registered agent services, or other service providers (collectively, “Service Partners”) as part of delivering the Services.

King Pen Studio is a consulting and facilitation service. We are not a law firm, accounting firm, or financial institution, and nothing provided through the Site or Services constitutes legal, tax, or financial advice unless explicitly stated otherwise in writing. Any filing, registration, or formation activity facilitated through the Services is subject to the independent review, requirements, and processing timelines of the applicable government agency or Service Partner.

For purposes of these Terms:

• “Services” means any product, service, function, feature, workflow, communication, software, application, review, analysis, consulting engagement, formation assistance, branding work, digital strategy work, educational content, intake process, or other service made available by or through King Pen Studio.
• “Site” means any website, page, form, application portal, mobile experience, landing page, content page, communication channel, or digital property owned, controlled, or operated by or on behalf of King Pen Studio.
• “Account” means any registration, profile, form submission, intake record, or information set associated with your interaction with King Pen Studio.
• “Client” means the business entity, business owner, officer, representative, authorized signer, or other person or entity whose information is submitted through the Site or Services.
• “Content” means all text, images, graphics, layout, branding, trademarks, service marks, logos, software, source code, documents, forms, interfaces, videos, sounds, artwork, and other materials made available on or through the Site or Services.

Words such as “including,” “include,” and “includes” shall be read as though followed by the phrase “without limitation.”

2. Nature of Services

King Pen Studio provides business consulting, formation assistance, brand direction, and digital strategy services intended to help business owners build and present a credible business foundation.

By using the Site or Services, you understand and agree that:

• King Pen Studio is not your legal advisor, tax advisor, financial advisor, or fiduciary, unless a specific engagement expressly states otherwise in writing.
• King Pen Studio does not guarantee specific business outcomes, funding eligibility, credit approval, branding results, or marketing performance.
• King Pen Studio does not control the processing times, requirements, or decisions of government agencies, registered agent services, or other third parties involved in business formation or filings.
• Any statements made by King Pen Studio regarding estimated timelines, potential outcomes, or general business guidance are general in nature and may not apply to your specific situation.
• Final responsibility for reviewing, approving, and submitting any filings, applications, or business decisions rests with you as the business owner.

Nothing on the Site or through the Services shall be construed as a guarantee of any particular business result, funding outcome, or legal status.

3. Eligibility and Authority to Use the Site and Services

By accessing or using the Site or Services, you represent, warrant, and covenant that:

• You are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater.
• You are legally capable of entering into a binding agreement.
• You are using the Site or Services on behalf of yourself and/or a business entity you are authorized to represent.
• If you submit information for a business, you are a business owner, officer, member, manager, partner, authorized representative, or other person with actual authority to submit such information and bind the business, as applicable.
• All information you provide belongs to you or the business you are authorized to represent, and you have the right to disclose such information to us.

You may not use the Site or Services on behalf of another person or business without proper authority. You may not use fictitious names, fake business identities, false documents, altered statements, or misleading information of any kind. You may not impersonate another person or entity or misrepresent your affiliation with any person or business.

King Pen Studio reserves the right to require additional information or documentation to verify identity, authority, business ownership, or authorization at any time.

4. Changes to These Terms

King Pen Studio reserves the right, in its sole discretion, to revise, update, modify, supplement, or replace these Terms, in whole or in part, at any time and without prior notice, except where notice is required by applicable law. Changes become effective upon posting to the Site or upon other notice being provided, unless a later effective date is stated.

Your continued access to or use of the Site or Services after any such changes are posted or otherwise communicated constitutes your acceptance of the revised Terms. If you do not agree to any revised Terms, your sole remedy is to stop using the Site and Services.

The “Effective Date” above reflects the date of the current version. You should review these Terms periodically for updates.

5. Content and Intellectual Property

All Content on the Site and through the Services is owned by King Pen Studio, its licensors, partners, or other content providers, and is protected by intellectual property, copyright, trademark, unfair competition, trade dress, trade secret, and other applicable laws. This includes, without limitation, the design, layout, appearance, organization, coordination, selection, arrangement, text, graphics, images, software, code, interfaces, logos, branding elements, and functionality of the Site.

King Pen Studio grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site and Content solely for your internal, personal, and legitimate business use in connection with exploring our Services, subject to these Terms.

You may not, without our prior written consent:

• Reproduce, distribute, republish, display, transmit, sell, lease, license, copy, scrape, download, modify, create derivative works from, reverse engineer, decompile, or exploit any portion of the Site or Content
• Use any trademark, logo, service mark, trade name, design, or visual identity of King Pen Studio
• Remove, alter, obscure, or bypass copyright, trademark, or proprietary notices
• Use the Content to create competing services, mirror websites, or derivative commercial materials

Any unauthorized use of the Site or Content may violate intellectual property and other laws and may result in suspension, termination, and legal action.

6. Use of the Site and Services; User Submissions

By using the Site or Services, you agree that you are solely responsible for all information, data, records, documents, statements, messages, form details, uploaded materials, and other content that you submit, transmit, upload, or otherwise provide to King Pen Studio or through the Services (“User Information”).

You acknowledge and agree that:

• You are solely responsible for the legality, accuracy, completeness, timeliness, authenticity, and appropriateness of all User Information.
• King Pen Studio does not independently verify every submission and is entitled to rely on the information you provide.
• We are not responsible or liable to you or any third party for any inaccuracies, omissions, or misrepresentations in information submitted by you or by any other user.
• Your use of the Services, and your decisions regarding your business, are solely your responsibility.

If you attempt to create duplicate accounts, submit conflicting information, or otherwise engage in activity that interferes with the proper operation of the Services, we may reject, merge, suspend, or terminate such activity or your Account in our sole discretion.

King Pen Studio may, but is not obligated to, monitor, screen, review, edit, reject, remove, or retain User Information for quality control, compliance, fraud prevention, operational, legal, or business purposes.

7. Truthful Information; Client Representations and Warranties

By submitting any information through the Site or Services, each Client represents, warrants, and certifies that:

• All information submitted is true, accurate, current, complete, and not misleading
• All documents submitted are authentic, unaltered, and relate to the Client or business identified
• The Client has the legal authority to submit the information and supporting documents
• The Client is not knowingly omitting any material fact that would make the information provided misleading
• The Client will promptly notify King Pen Studio of any material change in business ownership, operations, legal status, or other information relevant to the Services being provided

You understand and agree that providing false, incomplete, altered, fraudulent, or misleading information may result in denial of services, account termination, and/or other action as permitted by law.

8. Assumption of Risk; No Guarantees

You acknowledge that the use of the Site and Services involves risk. You assume all risk associated with your use of the Site and Services and your interactions with any third parties, including without limitation Service Partners, government agencies, vendors, and other providers.

King Pen Studio does not guarantee:

• That any business formation filing will be approved by the applicable government agency
• Specific timelines for filings, registrations, or approvals by third parties
• Specific business, branding, marketing, or digital strategy outcomes
• That the Services will be uninterrupted, error-free, timely, or suitable for your specific needs

Any examples, case studies, estimated timelines, or outcome statements presented on the Site or by our representatives are illustrative only and are not guarantees of future results.

9. Communication Consent; Electronic Communications

By using the Site or Services, submitting your information, or otherwise interacting with King Pen Studio, you consent to receive communications from King Pen Studio and those acting on our behalf, including via:

• Email
• Telephone calls
• Mobile phone calls
• SMS/text messages
• Other electronic means of communication

These communications may relate to your inquiry, engagement, service updates, account activity, reminders, operational notices, updates, promotions, and marketing messages. You understand that message and data rates may apply and that your consent to receive marketing calls or messages is not required as a condition of receiving Services. You may opt out of certain communications by following the unsubscribe instructions in a message, replying STOP where applicable, contacting us directly, or using any opt-out methods described in our Privacy Policy.

You also consent to transact electronically with us where permitted by law. Electronic records, signatures, acknowledgments, consents, and authorizations may be used in place of paper documents. You agree that your electronic actions, including clicking, checking boxes, typing your name, or otherwise indicating acceptance, may constitute your legal signature and agreement.

10. Information Sharing with Service Partners

By submitting an inquiry, intake form, or any information through the Site or Services, each business, business owner, officer, or authorized representative (individually and collectively, the “Client”) authorizes King Pen Studio to share relevant information with government filing agencies, registered agent services, and other Service Partners as reasonably necessary to complete business formation filings, EIN applications, D-U-N-S registration, and related administrative tasks on the Client’s behalf.

This authorization includes, without limitation, authorization to transmit business name, entity type, business address, ownership information, and related formation details to the applicable state agency, the Internal Revenue Service, Dun & Bradstreet, or other relevant third party as needed to complete the requested Services.

The Client authorizes King Pen Studio to communicate with such third parties on the Client’s behalf for purposes of tracking, confirming, or resolving issues related to the requested filings or registrations.

11. Prohibited Uses

You agree not to use the Site or Services:

• In any way that violates any federal, state, local, or international law, regulation, rule, or court order
• To submit false, deceptive, inaccurate, misleading, stolen, or unauthorized information
• On behalf of another person or business without valid authorization
• To impersonate King Pen Studio, our employees, our agents, another user, or any other person or entity
• To upload, transmit, or distribute junk mail, spam, unsolicited commercial communications, chain letters, or other unauthorized solicitations
• To exploit, harm, or attempt to exploit or harm minors
• To scrape, crawl, spider, data mine, monitor, or copy content or functionality from the Site without our prior written consent
• To interfere with or disrupt the Site, servers, networks, or systems connected to the Site
• To introduce viruses, malware, trojan horses, worms, time bombs, logic bombs, or other malicious or technologically harmful material
• To access or attempt to access any part of the Site, database, or system without authorization
• To engage in fraudulent, abusive, threatening, defamatory, unlawful, or otherwise improper conduct

King Pen Studio may investigate any suspected misuse and may suspend, restrict, or terminate access, preserve records, and cooperate with law enforcement or affected third parties as we deem appropriate.

12. License to Use Submitted Information

By submitting information, documents, or content through the Site or Services, you represent that you have the right to provide such materials and you grant King Pen Studio a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, host, reproduce, store, process, display, transmit, distribute, adapt, and otherwise use such materials to the extent reasonably necessary to provide, improve, market, analyze, support, and administer the Services, and to comply with legal, regulatory, audit, and operational obligations.

This license includes the right to share submitted information with Service Partners and service providers in connection with the Services. It also includes the right to use de-identified, aggregated, or anonymized information for analytics, benchmarking, market research, service improvement, and internal business purposes.

Nothing in this section transfers ownership of your original underlying business records to King Pen Studio; rather, it grants us the rights necessary to perform the Services and related business activities.

13. Allowed Disclosures; Information Security

You acknowledge and agree that King Pen Studio may disclose information you provide if we believe in good faith that such disclosure is necessary or appropriate to:

• Comply with applicable law, legal process, subpoena, court order, regulatory request, governmental inquiry, or law enforcement request
• Enforce these Terms or other agreements
• Detect, prevent, investigate, or address fraud, security incidents, unauthorized activity, or technical issues
• Protect the rights, property, safety, operations, or legal interests of King Pen Studio, our users, our Service Partners, or others
• Facilitate business consulting and formation-related services
• Complete corporate transactions such as mergers, acquisitions, asset sales, financing arrangements, or business restructurings

King Pen Studio takes reasonable administrative, technical, and physical measures to protect information against unauthorized access, use, alteration, disclosure, or destruction. However, no website, server, database, transmission method, or electronic storage system is completely secure. You acknowledge that you provide information at your own risk, and King Pen Studio cannot guarantee absolute security.

14. Third-Party Sites, Services, and Providers

The Site and Services may contain links to, integrations with, or references to third-party websites, platforms, government agencies, Service Partners, or other external resources. King Pen Studio does not own or control such third parties and is not responsible for their availability, content, security, services, acts, omissions, privacy practices, decisions, offers, terms, or policies.

Your interactions, agreements, and transactions with any third party are solely between you and that third party unless expressly stated otherwise. King Pen Studio makes no representation or warranty regarding any third-party site, service, or provider and does not endorse or assume responsibility for them merely because they are referenced on the Site or accessible through the Services.

15. Disclaimer of Warranties

King Pen Studio does not warrant that:

• The Site or Services will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Site or Services will meet your needs or expectations
• Any Content is accurate, complete, current, or suitable for reliance
• Any files or downloadable materials will be free from malware or harmful code
• Any filing, registration, or business outcome will be approved, timely, or beneficial to you

You are solely responsible for implementing appropriate safeguards, security measures, and independent evaluations before relying on any information or proceeding with any business decision.

16. Limitation of Liability

• Your access to or use of, or inability to access or use, the Site or Services
• Any information you submit or receive
• Any filing, registration, or business outcome
• Your dealings with any Service Partner or third party
• Any unauthorized access to or use of our systems or stored information
• Interruption, suspension, or termination of the Site or Services
• Errors, omissions, delays, inaccuracies, or defects in the Site or Services

This limitation applies regardless of the theory of liability, whether based in contract, tort, negligence, strict liability, statute, or otherwise, and even if King Pen Studio has been advised of the possibility of such damages.

To the extent any jurisdiction does not allow the exclusion or limitation of certain damages, King Pen Studio’s liability shall be limited to the maximum extent permitted by law.

17. Indemnification

You agree to defend, indemnify, and hold harmless King Pen Studio and its affiliates, owners, members, managers, officers, directors, employees, contractors, agents, service providers, licensors, successors, and assigns from and against any and all claims, demands, causes of action, liabilities, damages, judgments, losses, costs, expenses, fines, penalties, and fees, including reasonable attorneys’ fees and legal expenses, arising out of or relating to:

• Your use of the Site or Services
• Your User Information or any other information or materials you submit
• Your violation of these Terms
• Your violation of any law, rule, or regulation
• Your infringement or misappropriation of any third-party rights
• Your interactions, disputes, or agreements with any Service Partner or third party

King Pen Studio reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully in such defense.

18. Term and Termination

These Terms are effective immediately upon your first access to or use of the Site or Services and shall remain in full force and effect unless and until terminated in accordance with these Terms.

You may stop using the Site or Services at any time. However, discontinuing use does not eliminate obligations, consents, authorizations, disclosures, or liabilities that accrued prior to discontinuation.

King Pen Studio may, in its sole discretion and without liability, suspend, restrict, disable, or terminate your access to the Site, Services, Account, submissions, or related records at any time, with or without prior notice or explanation, including without limitation if:

• You violate these Terms
• You provide false, misleading, incomplete, suspicious, or fraudulent information
• We suspect unauthorized access, identity issues, fraud, abuse, or illegal conduct
• Your use of the Site or Services exposes King Pen Studio, its partners, or other users to risk, liability, operational burden, reputational harm, or security concerns
• We discontinue or modify part or all of the Services
• We determine, in our sole judgment, that suspension or termination is appropriate for operational, legal, compliance, or business reasons

King Pen Studio also reserves the right, in its sole discretion, to remove, disable, reject, quarantine, archive, or delete any Account, form, document, uploaded file, communication, or submitted information associated with your use of the Site or Services. We may retain certain records after termination as required or permitted by law, regulation, contract, internal policy, dispute resolution needs, fraud prevention needs, backup processes, audit obligations, or legitimate business purposes.

Termination or suspension of your access to the Site or Services does not affect any rights or obligations that accrued before such termination or suspension, and it does not automatically cancel, rescind, revoke, or alter any separate agreement between you and a Service Partner or other third party.

Any provisions of these Terms that by their nature should survive termination shall survive, including without limitation provisions concerning ownership, intellectual property, communication consent, disclaimers, limitations of liability, indemnification, dispute resolution, arbitration, class action waiver, data usage, and record retention.

19. Governing Law; Arbitration; Class Action Waiver

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, or the relationship between you and King Pen Studio shall be resolved by binding arbitration on an individual basis, except to the extent prohibited by law. The arbitration shall be administered by a nationally recognized arbitration provider under its applicable commercial rules, and the arbitration shall take place in Georgia unless otherwise required by law or agreed by the parties.

You and King Pen Studio agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private attorney general proceeding.

No arbitration or proceeding shall be joined with another without the prior written consent of all affected parties.

To the extent arbitration is found unenforceable for any claim, venue for such claim shall lie exclusively in the state or federal courts located in Georgia, and you consent to the jurisdiction of such courts.

20. Limitation on Time to File Claims

To the fullest extent permitted by law, any cause of action or claim you may have arising out of or relating to these Terms, the Site, or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim shall be permanently barred.

21. Miscellaneous

These Terms, together with the Privacy Policy and any other legal notices or consents incorporated herein, constitute the entire agreement between you and King Pen Studio concerning the Site and Services and supersede all prior or contemporaneous communications, understandings, or agreements relating thereto.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

No waiver by King Pen Studio of any term or condition shall be deemed a continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by King Pen Studio to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

King Pen Studio may assign or transfer its rights and obligations under these Terms without restriction. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
